Corporate
Our corporate attorneys represent and advise clients in a wide variety of corporate matters, including mergers and acquisitions, recapitalizations, private equity investments, financings, unsolicited takeovers and restructurings. They also advise clients and other lawyers in the firm on Delaware law aspects of transactions, fiduciary duties and corporate governance matters, as well as alternative entity law, focusing on Delaware limited liability companies and limited partnerships.
Litigation
The litigation group in the Wilmington office concentrates on civil litigation at the trial and appellate levels in federal and state courts around the country, with a strong emphasis on Delaware’s renowned Court of Chancery. Wilmington litigators are experienced in a broad range of commercial, corporate and securities litigation, including the defense of class and derivative actions, representation of special committees, fiduciary duties of directors, federal and state securities fraud claims, bankruptcy litigation, corporate valuations and statutory appraisals, and insurance acquisition transactions from a litigation as well as regulatory standpoint. Wilmington litigators also have handled many cases outside Delaware, including recent cases in Alabama, Connecticut, Colorado, Georgia, Maryland, New Jersey, Pennsylvania, Tennessee and Wisconsin.
Corporate Restructuring
The Wilmington office also has a substantial work-out and corporate restructuring/bankruptcy practice. This practice group focuses on Chapter 11 and out-of-court restructuring transactions and related litigations in a variety of situations, including “prepackaged” and “prearranged” bankruptcies. We represent and provide strategic advice and litigation assistance to financially troubled public and private companies and their major lenders, creditors, investors and asset acquirers, both within the U.S. and internationally.
