Grand Park Law Group, A.P.C. seeks a Mid-Level Associate in New York, NY to review and monitor corporate matters to spot potential issues including structuring deals, obtaining requisite company approval and identifying materiality thresholds to representations and warranties. Requires a Juris Doctor or equivalent, and two (2) years of experience providing comprehensive, coordinated legal advice regarding business transactions including securities law compliance, directorial duties and exchange listing requirements. Prior experience must include at least two (2) years of experience identifying and solving complex legal issues in the area of mergers, acquisitions, initial public offerings, SPACs public and private financings, or spin-offs; analyzing and interpreting complex corporate laws and regulations and drafting legal documents including primary and ancillary transaction documents; reviewing legal documents including organizational documents, shareholder agreements, voting agreements and material contracts; preparing due diligence reports including coordinating with the specialists on their respective sections and drafting corporate diligence documents, reviewing due diligence documents, including tracking supplemental requests, and reporting diligence findings; coordinating with antitrust and competition and national security specialists to prepare regulatory filings including HSR; and in executing duties, utilizing Litera to proofread legal documents and Deal Point Data and Intelligize to conduct legal research. Must be admitted to practice law in the State of New York. Telecommuting and/or working from home may be permissible pursuant to company policies.
The starting base salary for this New York position is expected to be between $225,000 to $295,000 annually. Actual salary will be determined based on skills, experience (to the extent relevant) and other job-related factors, consistent with applicable law.
